Agreement to Terms

By accessing or using the Landed Cost Calculator service operated by HoughWorks ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our service.

Description of Service

Our Landed Cost Calculator is a Software-as-a-Service (SaaS) platform that helps businesses calculate the total landed cost of imported goods, including tariffs, duties, shipping costs, and other fees based on current regulations.

Account Registration and Security

Account Creation

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must be at least 18 years old to use our service
  • One account per person or business entity

Account Security

  • You are responsible for all activities under your account
  • Notify us immediately of any unauthorized use of your account
  • We reserve the right to suspend accounts that violate these Terms

Subscription and Payment Terms

Subscription Plans

  • Various subscription tiers are available with different features and usage limits
  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law

Payment Processing

  • Payments are processed securely through Stripe
  • You authorize us to charge your payment method for all fees
  • Failed payments may result in service suspension
  • Price changes will be communicated 30 days in advance

Free Trial and Cancellation

  • Free trials may be offered for new users
  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • No refunds for partial billing periods

Acceptable Use

You agree NOT to:

  • Use the service for any illegal or unauthorized purpose
  • Violate any applicable laws or regulations
  • Interfere with or disrupt the service or servers
  • Attempt to gain unauthorized access to our systems
  • Use the service to compete with us or develop competing products
  • Share your account credentials with others
  • Upload malicious code, viruses, or harmful content

Service Availability and Modifications

Service Availability

  • We strive for 99.9% uptime but cannot guarantee uninterrupted service
  • Planned maintenance will be announced in advance when possible
  • We are not liable for service interruptions beyond our control

Service Modifications

  • We may modify, update, or discontinue features at any time
  • Material changes to core functionality will be communicated in advance
  • Continued use after changes constitutes acceptance of modifications

Data and Calculations

Accuracy Disclaimer

Important: Tariff rates and regulations change frequently. While we strive for accuracy, calculations are estimates only. You are responsible for verifying all calculations and rates. We are not liable for financial decisions based on our calculations.

Your Data

  • You retain ownership of data you input into the service
  • We may use aggregated, anonymized data to improve our service
  • You may export your data at any time through your account
  • Data deletion occurs within 30 days of account closure

Intellectual Property

Our Rights

  • The service, including all content, features, and functionality, is owned by us
  • Our trademarks, logos, and service marks are our property
  • You may not use our intellectual property without written permission

Your Rights

  • You retain rights to content you create using our service
  • You grant us a license to use your data to provide the service
  • This license terminates when you delete your account

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE LAST 12 MONTHS
  • WE DISCLAIM ALL WARRANTIES EXCEPT AS REQUIRED BY LAW
  • YOU USE THE SERVICE AT YOUR OWN RISK

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit through the service

Termination

By You

  • You may terminate your account at any time through account settings
  • Termination does not relieve you of payment obligations incurred before termination

By Us

We may terminate or suspend your account if you:

  • Violate these Terms
  • Fail to pay subscription fees
  • Engage in fraudulent or harmful activities
  • Upon reasonable notice for convenience

Governing Law and Disputes

Governing Law

These Terms are governed by the laws of Texas, without regard to conflict of law principles.

Dispute Resolution

  • Any disputes will be resolved through binding arbitration

Severability
